Licence Terms (EULA)

IMPORTANT - READ CAREFULLY: This End User Licence Agreement (the „EULA“) is a legal agreement between You (a natural or legal person, the „User“ or „You“) and Aleš Ulrych, with registered address at Pekařská 1142, Lomnice nad Popelkou, 512 51, Czech Republic (the „Licensor“ or „We“), concerning the Software identified above, which comprises computer software and may include related media, printed materials and online or electronic documentation.

By installing, copying or otherwise using the Software you agree to be bound by the terms of this EULA. If you do not agree to them, do not install or use the Software.

1. Grant of licence

1. The Licensor hereby grants You a non-exclusive, non-transferable (except as expressly stated below) licence to install and use one (1) copy of the Software on one (1) computer for Your internal business or personal purposes, in accordance with the terms of this EULA.
2. If You have purchased more than one licence, You may install and use the Software on as many computers as You have licences. Each licence is for use on one computer at any given time.
3. DEMO version: If You are using the DEMO version of the Software, the licence is granted solely for the purpose of trying out and evaluating the Software for a limited time or with limited functionality, as specified in the Software documentation or by the Licensor. Any use of the DEMO version for commercial or production purposes is prohibited.
4. Subscription (monthly or yearly): If You obtained the licence as a subscription, the licence is valid for the period paid for (a month or a year). Once the paid period expires and the subscription is not renewed, the licence ceases to be valid and the Software stops working. Your data and templates remain untouched.
5. Lifetime licence: If You have purchased a lifetime licence, it is granted with no time limit and includes lifetime updates and priority support.
6. Technical and administrative binding of the licence: The licence is technically bound to a specific computer through its identifier (Computer ID). When the Software is upgraded or reinstalled on the same computer, the licence remains valid. The licence is administratively registered in the name of the User (an individual or a member of staff of an organisation); the registration details can be changed on written request (for example when a member of staff changes within the same organisation) without affecting the validity of the licence, provided the original computer is retained. If the original computer is taken out of service (for example a fault or a hardware replacement), the licence can be transferred to a new computer; upon mutual agreement and provision of the new Computer ID the Licensor will send a new licence key. The original licence key thereby ceases to be valid.

2. Restrictions on use

Neither You nor any third party acting through You may:

1. Reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this restriction.
2. Modify, translate, adapt or create derivative works based on the Software.
3. Copy the Software, except for a single backup copy for archival purposes provided that the copy contains all the original proprietary notices.
4. Rent, lease, lend, sublicense, distribute, sell, transfer or otherwise make the Software or any rights to it available to third parties without the prior written consent of the Licensor.
5. Remove or alter any copyright, trademark or other proprietary notices contained in or on the Software.
6. Use the Software to develop any product that competes with the Software.
7. Use the Software in any way that is unlawful or that is not expressly permitted by this EULA.

3. Ownership and copyright

The Software is the property of the Licensor and is protected by the copyright laws of the Czech Republic and by international copyright treaties, as well as by other intellectual property laws and treaties. The Licensor reserves all rights not expressly granted to You in this EULA. This EULA grants You no rights in connection with any trademarks or service marks of the Licensor.

4. Disclaimer of warranties

THE SOFTWARE IS PROVIDED „AS IS“, WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, RELIABILITY OR AVAILABILITY, ACCURACY OR COMPLETENESS OF RESPONSES, RESULTS, WORKMANLIKE EFFORT, LACK OF VIRUSES AND LACK OF NEGLIGENCE, ALL WITH REGARD TO THE SOFTWARE AND THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT OR OTHER SERVICES, INFORMATION, SOFTWARE AND RELATED CONTENT THROUGH THE SOFTWARE OR OTHERWISE ARISING OUT OF THE USE OF THE SOFTWARE.

THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR FREE OR UNINTERRUPTED OR THAT IT WILL MEET YOUR SPECIFIC REQUIREMENTS. YOU ACKNOWLEDGE THAT THE SOFTWARE MAY INTERACT WITH THIRD PARTY SOFTWARE (FOR EXAMPLE ADOBE ILLUSTRATOR OR CORELDRAW) AND THAT THE LICENSOR BEARS NO RESPONSIBILITY FOR THE FUNCTIONING OR THE DEFECTS OF SUCH THIRD PARTY SOFTWARE OR FOR ANY INCOMPATIBILITY BETWEEN THE SOFTWARE AND THIRD PARTY SOFTWARE.

5. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS OR OF CONFIDENTIAL OR OTHER INFORMATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, FOR LOSS OF PRIVACY, FOR FAILURE TO MEET ANY DUTY INCLUDING GOOD FAITH OR REASONABLE CARE, FOR NEGLIGENCE, AND FOR ANY OTHER PECUNIARY OR OTHER LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, OR OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION OF THIS EULA, EVEN IN THE EVENT OF FAULT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF CONTRACT OR BREACH OF WARRANTY OF THE LICENSOR OR ANY SUPPLIER, AND EVEN IF THE LICENSOR OR ANY SUPPLIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE TOTAL LIABILITY OF THE LICENSOR AND YOUR EXCLUSIVE REMEDY UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE SOFTWARE (IF ANY).

6. Support and updates

1. The Licensor may, but is not obliged to, provide You with support relating to the Software („Support Services“). Any supplementary software code supplied as part of the Support Services shall be considered part of the Software and shall be subject to the terms of this EULA.
2. The Licensor may issue updates or upgrades to the Software from time to time. The terms on which such updates or upgrades are provided shall be determined by the Licensor at its own discretion. Some updates may be provided free of charge, while others may require an additional fee.

7. Termination

Without prejudice to any other rights, the Licensor may terminate this EULA if You breach any of its terms. In that event You must destroy all copies of the Software and all of its components. The provisions of sections 3, 4, 5, 8 and 9 survive termination of this EULA.

8. Governing law and jurisdiction

This EULA is governed by and shall be construed in accordance with the laws of the Czech Republic, without regard to its conflict of law rules. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. Any disputes arising out of or in connection with this EULA shall be resolved by the competent courts in Semily, Czech Republic.

9. Entire agreement and severability

This EULA (including any addenda or amendments to it that form part of the Software) constitutes the entire agreement between You and the Licensor concerning the Software and supersedes all prior or contemporaneous oral or written communications, proposals and representations concerning the Software or any other subject matter of this EULA. If any provision of this EULA is found to be invalid, ineffective or unenforceable, the remaining provisions shall remain in full force and effect.
